{"id":5464,"date":"2025-11-06T14:37:19","date_gmt":"2025-11-06T13:37:19","guid":{"rendered":"https:\/\/www.scoutingadvisors.com\/?p=5464"},"modified":"2025-11-14T14:37:38","modified_gmt":"2025-11-14T13:37:38","slug":"scouting-capital-family-advisors-assists-vam-investments-in-the-acquisition-of-garolfi-as-part-of-the-creation-of-the-everest-platform","status":"publish","type":"post","link":"https:\/\/www.scoutingadvisors.com\/en\/scouting-capital-family-advisors-assists-vam-investments-in-the-acquisition-of-garolfi-as-part-of-the-creation-of-the-everest-platform\/","title":{"rendered":"SCOUTING CAPITAL &#038; FAMILY ADVISORS ASSISTS VAM INVESTMENTS IN THE ACQUISITION OF GAROLFI AS PART OF THE CREATION OF THE EVEREST PLATFORM"},"content":{"rendered":"<ul>\n<li><em>Milan, 6 November 2025 <\/em>\u2013 <strong>Vam Investments <\/strong>(\u201cVam\u201d), a private equity operator specialising in buyouts and consolidation platforms, has reached binding agreements for the acquisition of five Italian companies (<strong>Garolfi, Starter Energy, Guidi Impianti, Solarys <\/strong>and <strong>Omnia Energy 3) <\/strong>active in the design, installation and management of photovoltaic systems, electrical systems and HVAC (Heating, Ventilation and Air Conditioning) systems for businesses.<\/li>\n<li><strong>The combination of the five companies will create the Everest group<\/strong>, a platform that aims to become the national leader in providing services to businesses for the energy transition.<\/li>\n<li><strong>Alessandro Zunino<\/strong>, creator and promoter of the initiative, will lead Everest as CEO. Formerly CEO of <strong>Edison Energia, <\/strong>he has extensive experience in the energy and industrial sectors. <strong>Umberto Quadrino, <\/strong>former CEO of <strong>Edison <\/strong>from 2001 to 2012 and current chairman of <strong>Tages, <\/strong>an asset management company that manages funds specialising in renewable energy sources and energy transition, will bring his experience to the table as chairman.<\/li>\n<li>The entrepreneurs who founded and run the companies will remain at the helm of their respective businesses, with a significant shareholding in the parent company Everest. The project was led by <strong>Armando Golia<\/strong>, partner at Vam, and <strong>Francesca Rena, <\/strong>director.<\/li>\n<li>In the transaction, <strong>Vam <\/strong>was assisted by <strong>Scouting Capital &amp; Family Advisors <\/strong>in coordinating activities related <strong>to the acquisition of Garolfi <\/strong>with a team composed of Managing Partner <strong>Giuseppe Sartorio<\/strong>, Associate Director <strong>Andrea Isacchi <\/strong>and Associate <strong>Jacopo Mazzoleni.<\/strong><\/li>\n<li>For the scouting activities, and in particular the coordination of the acquisitions of Starter Energy and Guidi Impianti, Vam was assisted by <strong>LABS Corporate Finance. DWF <\/strong>acted as legal advisor, <strong>KPMG <\/strong>coordinated the financial due diligence activities, and <strong>Legance <\/strong>handled the tax due diligence and definition of the transaction structure. <strong>Finerre <\/strong>coordinated the acquisition of Omnia Energy 3.<\/li>\n<li>The founders of <strong>Everest <\/strong>were assisted by <strong>Cerina Studio Legale.<\/strong><\/li>\n<li><strong>Garolfi\u2019s<\/strong> partners were assisted by the <strong>Lawal<\/strong> law firm.<\/li>\n<li>The shareholders of <strong>Starter Energy <\/strong>were assisted by <strong>Avvocatidiimpresa <\/strong>for legal matters and by <strong>Studio Della Volta <\/strong>for financial and tax matters.<\/li>\n<li>The partners of <strong>Guidi Impianti <\/strong>were advised by <strong>Arcadia Financial Advisors <\/strong>as M&amp;A advisor, <strong>Piercarlo Mariotti <\/strong>as legal advisor and <strong>Massimiliano Tittarelli <\/strong>as tax advisor.<\/li>\n<li><strong>Solarys\u2019<\/strong> shareholders were assisted by <strong>L&amp;B Partners Avvocati Associati STA <\/strong>as legal advisor.<\/li>\n<li>With regard to the shareholders of <strong>Omnia Energy 3<\/strong>, Europe Capital Partners VII engaged <strong>CS &amp; Associati <\/strong>to coordinate activities related to the sale of the stake. The fund and brothers Stephane and Nicolas Moretti, through Omnia Immobiliare, were advised by <strong>Rothschild &amp; Co <\/strong>as financial advisor.<\/li>\n<li>Europe Capital Partners VII was also supported by the law firm <strong>Gatti Pavesi Bianchi Ludovici<\/strong>.
