Newport is the first Italian perpetual compounder and the first in Europe to focus exclusively on corporate carve-outs and divestments of non-core businesses from mid- and large-sized industrial groups. The binding agreement was signed on 27 July.<\/li>\n<li>The divestment follows <strong>Health Care Group\u2019s strategic decision to exit the Italian market<\/strong>; in this context, the Group identified Newport &amp; Co as a credible and responsible counterparty, capable of managing a complex carve-out while safeguarding the continuity of a business that plays a crucial role in the regional healthcare system.<\/li>\n<li>Following the spin-off and separation from the Group, a company has been established with a new brand identity:<strong> Aketis, <\/strong>a name that recalls Akesis, associated with healing in the Greek tradition, combining this reference with values of rigour, precision and scientific method. <strong>The company will operate autonomously and independently<\/strong>, with full operational responsibility entrusted to local management. <strong>Management continuity<\/strong> is <strong>ensured<\/strong>: <strong>Nicola Marzella<\/strong>, formerly General Manager of ReHa, is now <strong>Chief Executive <\/strong>Officer of Aketis, with the <strong>entire existing organisation confirmed<\/strong>. Newport &amp; Co will support management in the transition to full independence, with no interruption to service continuity for healthcare authorities, patients, employees and suppliers.<\/li>\n<li>Headquartered in Pontedera (Pisa), <strong>Aketis <\/strong>is a specialised centre of excellence dedicated to the end-to-end management of medical and orthopaedic aids (sanitisation, maintenance, refurbishment and home delivery) provided on behalf of Local Health Authorities (ASL) through public tenders. It operates through <strong>11 local units<\/strong>across Italy and employs approximately <strong>115 people<\/strong>. Founded in 2014 by Nicola Marzella, it is today one of the leading national operators in the segment, with <strong>revenues <\/strong>growing from \u20ac4 million in 2020 to approximately <strong>\u20ac11 million expected in <\/strong>2026 (CAGR ~18%, EBITDA margin above 11%), supported by an order backlog of approximately <strong>\u20ac27 million<\/strong> for the 2026-2028 period.<\/li>\n<li>Headquartered in Verona, <strong>Newport &amp; Co<\/strong> S.p.A. \u2013 Societ\u00e0 Benefit is the first Italian perpetual compounder and the first in Europe to focus exclusively on corporate carve-outs and divestments of non-core businesses from mid- and large-sized industrial groups. Unlike a private equity fund, it holds its companies indefinitely, reinvesting cash flows into organic growth and new acquisitions. It acquires controlling stakes in European companies with revenues between \u20ac10 million and \u20ac100 million, with no sector constraints and strong expertise in industrial and B2B services. Backed by <strong>\u20ac30 million of permanent capital<\/strong> from US institutional investor Hampton River Partners and the management vehicle, Newport Investments, Newport &amp; Co pursues the mission of being Europe\u2019s safe harbour for non-strategic businesses.<\/li>\n<li><strong>Health Care Group<\/strong> was advised by <strong>Scouting <\/strong>(Partner <strong>Giuseppe Sartorio<\/strong>, Associate Director <strong>Jacopo Mazzoleni<\/strong>) as sell-side financial advisor, by <strong>MR Avvocati (<\/strong>Partner <strong>Massimiliano Ratti<\/strong>and Dott. <strong>Carlo Tonini<\/strong>) on legal matters and by <strong>Studio Colella (Dott.
