Scouting advised Health Care Group on the sale of its Reha business unit to Newport & Co., which established the new company Aketis

  • Verona, 3 November 2026 – Health Care Group announces the completion of the closing of the sale of ReHa, the Home Care Solutions Business Unit specialised in the end-to-end management of medical and orthopaedic aids, through a dedicated carve-out process to Newport & Co S.p.A. – Società Benefit. Newport is the first Italian perpetual compounder and the first in Europe to focus exclusively on corporate carve-outs and divestments of non-core businesses from mid- and large-sized industrial groups. The binding agreement was signed on 27 July.
  • The divestment follows Health Care Group’s strategic decision to exit the Italian market; in this context, the Group identified Newport & Co as a credible and responsible counterparty, capable of managing a complex carve-out while safeguarding the continuity of a business that plays a crucial role in the regional healthcare system.
  • Following the spin-off and separation from the Group, a company has been established with a new brand identity: Aketis, a name that recalls Akesis, associated with healing in the Greek tradition, combining this reference with values of rigour, precision and scientific method. The company will operate autonomously and independently, with full operational responsibility entrusted to local management. Management continuity is ensured: Nicola Marzella, formerly General Manager of ReHa, is now Chief Executive Officer of Aketis, with the entire existing organisation confirmed. Newport & Co will support management in the transition to full independence, with no interruption to service continuity for healthcare authorities, patients, employees and suppliers.
  • Headquartered in Pontedera (Pisa), Aketis is a specialised centre of excellence dedicated to the end-to-end management of medical and orthopaedic aids (sanitisation, maintenance, refurbishment and home delivery) provided on behalf of Local Health Authorities (ASL) through public tenders. It operates through 11 local unitsacross Italy and employs approximately 115 people. Founded in 2014 by Nicola Marzella, it is today one of the leading national operators in the segment, with revenues growing from €4 million in 2020 to approximately €11 million expected in 2026 (CAGR ~18%, EBITDA margin above 11%), supported by an order backlog of approximately €27 million for the 2026-2028 period.
  • Headquartered in Verona, Newport & Co S.p.A. – Società Benefit is the first Italian perpetual compounder and the first in Europe to focus exclusively on corporate carve-outs and divestments of non-core businesses from mid- and large-sized industrial groups. Unlike a private equity fund, it holds its companies indefinitely, reinvesting cash flows into organic growth and new acquisitions. It acquires controlling stakes in European companies with revenues between €10 million and €100 million, with no sector constraints and strong expertise in industrial and B2B services. Backed by €30 million of permanent capital from US institutional investor Hampton River Partners and the management vehicle, Newport Investments, Newport & Co pursues the mission of being Europe’s safe harbour for non-strategic businesses.
  • Health Care Group was advised by Scouting (Partner Giuseppe Sartorio, Associate Director Jacopo Mazzoleni) as sell-side financial advisor, by MR Avvocati (Partner Massimiliano Rattiand Dott. Carlo Tonini) on legal matters and by Studio Colella (Dott. Alberto Colella) on tax and corporate matters
  • Newport & Co, on legal, tax and corporate matters, was advised by Grifoni Associati with a team comprising Partner Federico Baratta, Ivan Tresca and Gianluca Mina. PwC Italy carried out the financial and carve-out due diligence. The legal due diligence was handled by Partners Luca Masotti and Carlo Piatti and Associate Barbara Bertini of Masotti Casella and by Partner Filippo Salvetti of Ethica Group as M&A advisor.
